Nick advises publicly and privately held companies on a broad range of matters, including mergers & acquisitions, divestitures, minority investments and other strategic transactions and general corporate matters. He has represented both leading and emerging private equity funds, as well as family offices and their portfolio companies, Fortune 500 companies, and founder-owned businesses on transactions across sectors. This substantial experience spans manufacturing, industrial, healthcare and software transactions, among others.
Nick regularly counsels clients with respect to general corporate and commercial contracting matters, entity formation, governance, joint venture agreements, securityholder agreements and securities compliance.

- Represented McCarthy Capital in its substantial minority investment in Smartlink, a provider of wireless infrastructure asset inventory and management, network services, network real estate, and IT staffing.

Represented springbig, the largest loyalty and marketing automation platform to serve the cannabis Industry, in entering into a definitive agreement for a $500 million de-SPAC transaction resulting in springbig being listed on Nasdaq through a merger with Tuatara Capital Acquisition Corporation. The merger accelerated springbig’s visions to serve cannabis brands by consolidating a highly fragmented cannabis technology ecosystem across loyalty, data analytics, advertising, and other areas influencing consumer experience and marketing effectiveness.
- Representation of Fosler Construction Co. in its sale to Akron-based Babcock & Wilcox Enterprises, Inc. B&W completed its acquisition of a majority interest in Illinois’ Fosler Construction Co., a solar energy contractor.

Represented Caliva, a direct-to-consumer cannabis brand, as real estate counsel in its acquisition of multiple licensed cannabis operations and several newly awarded dispensary licenses, all in California.
- Represented Caliva as lead counsel on a joint venture involving cultivation licenses and newly awarded dispensary and deliver license in Los Angeles with a social equity applicant partner. Additionally, represented Caliva with regard to numerous real estate lease transactions.
- Represented a large, family office which made very substantial investments in the cannabis business, including corporate structure for the entity into which the family office made its original investments and eventually raised additional equity which allowed the original investor to receive a return of a portion of its original investment.
- Represented leading provider of component parts for aircrafts in its stock acquisition of a leader in aviation safety and flight performance systems.
- Represented Kaulig Capital, in partnership with management, in its acquisition of Phillips Syrups & Sauces, a maker of food items largely used in coffee and ice cream shops.
- Represented Watkins Associated Industries, Inc. in its acquisition of Nova Engineering and Environmental, LLC, a provider of environmental consulting and engineering and construction testing and inspections services.
