Tom advises private equity sponsors, investors, emerging companies and well-established businesses on mergers and acquisitions, private equity and venture capital transactions, corporate restructurings and day-to-day corporate matters.

Representing buyers and sellers in domestic and cross-border transactions, Tom guides clients throughout the deal process, from legal diligence and transaction structuring through negotiation, documentation and closing. He prepares diligence memoranda and disclosure schedules, reviews and negotiates transaction documents, and works closely with investment bankers, opposing counsel and insurers to drive transactions to timely and successful closings.

Tom also advises emerging and venture-backed companies and investors on early- and growth-stage financings, including equity, convertible debt and debt transactions. He counsels founders and investors on fundraising strategy, transaction structures and the legal and operational challenges early-stage companies face.

In his broader corporate practice, Tom serves as outside counsel to companies across a diverse range of industries, including private equity, startups and venture-backed businesses, financial services, waste management and recycling, hospitality and restaurant groups, commercial real estate, maritime transportation services, and pharmaceutical and private healthcare providers. He advises on corporate governance, entity formation, capital raising, strategic growth initiatives and other day-to-day corporate matters tailored to each client’s operational needs and risk profile.
