Outside General Counsel/Everyday Legal Services

In addition to our deal work, we work with our dental and DSO clients on all aspects of the legal, regulatory, tax, and everyday business planning matters that impact their dental practices and their individual lives. As we like to say, we provide our dental clients with general counsel services, whether that counsel is for an individual dentist, a dental practice, a group of practices, or a larger DSO structure. We bring our wealth of knowledge, experience, and determination to bear for each and every client.

We understand and have worked with general dentists, specialists and DSOs on their day-to-day legal needs including:

  • Associate contracts
  • Employment matters, including employee complaints, defense of equal opportunity claims, and other related harassment and employment related claims
  • Non-compete/non-solicitation defense and prosecution
  • Dental Board matters
  • Professional liability consultation, including death in the chair cases

  • Tax planning
  • Embezzlement and related investigations
  • Unfriendly” Dentist Disputes – We’ve assisted DSO clients prepare strategy for and work through the departure of the “friendly” dentist owners of the practice entities in the dentist models, including, separation initiated by the DSO desiring to go a different direction with respect to the “friendly” dentist or the “friendly” dentist truly becoming “friendly” an initiating litigation or arbitration proceedings.
  • HIPAA Compliance - Reviewing the organizational structure of the DSO and supported practice(s) to determine appropriate HIPAA organizational and arrangement structure (i.e., affiliated covered entities, organized health care arrangements, business associate relationships) to allow permissible uses and disclosures between the supported practice(s) and the DSO as well as between separately owned and operated practices supported by the same DSO.
  • Incentive Compensation - Structuring dentist incentive compensation from practices and DSOs to comply with state fee splitting, self-referral, and anti-kickback provisions and, if applicable to the dental practice, the Federal equivalents.
