Nida focuses her practice on employee benefits law. She advises public, private, and not-for-profit clients on the design, implementation, and administration of tax-qualified retirement plans, nonqualified deferred compensation arrangements, and health and welfare plans.
She also provides guidance on executive compensation and employee benefits issues in mergers and acquisitions, financing events, divestitures, initial public offerings, and other strategic transactions, as well as post-acquisition compensation and equity structuring and integration.
Nida has extensive experience counseling on benefits-related aspects of corporate transactions, including private equity portfolio company acquisitions and platform sales, large strategic transactions, and take-private acquisitions. Nida advises portfolio managers, executive management teams, and boards of directors, with a focus on structuring management equity incentive plans and addressing related tax, legal, and regulatory compliance considerations.

Representative Experience
- Worked with local counsel in Puerto Rico to prepare qualification submissions for Puerto Rico plans before the Puerto Rico Treasury for compliance with the Puerto Rico Internal Revenue Code and ERISA. *
- Counseled the management of companies on strategic planning with respect to retirement benefits, including post-acquisition harmonization of employee benefit plans, including the consolidation of defined benefit plans and 401(k) plans of multiple subsidiary companies into parent company’s respective plans following a large-scale merger. *
- Developed corporate, plan governance and fiduciary compliance strategies for public and private employers, including the preparation of retirement plan investment policies and benefit plan committee charters.*
