Tabitha represents lenders and borrowers in a variety of industries in a full range of financing transactions, from investment-grade facilities to leveraged loans, asset-based loans, and cross-border secured credit facilities, and from acquisition financings to liability management transactions, debtor-in-possession financings and exit financings.

Notable representations have included:

  • New Fortress Energy Inc. in connection with multiple cross-border secured financings, including a $2.7 billion refinancing transaction, a $1 billion revolving credit facility, a $325 million letter of credit facility, an $856 million term loan B facility, and a term loan A facility of up to $700 million;*
  • Hillenbrand, Inc. in their $1 billion multi-currency revolving credit facility and delayed-draw term loans of $200 million and €185 million, in each case incurred in connection with strategic acquisitions;*
  • Bank of America, N.A. in connection with a $125 million debtor-in-possession facility for Instant Brands Holdings, Inc.;*
  • Bank of America, N.A. in connection with a $1.26 billion debtor-in-possession facility for Sears Holding Corp.;*
  • Armstrong Flooring, Inc., a publicly traded flooring manufacturer, in connection with its $30 million debtor-in-possession facility;*
  • A steel manufacturing company in connection with its contingency planning and related workout;*
  • SP+ Corporation in connection with their acquisition by Metropolis in a transformational take-private transaction;*
  • Middleby Marshall, Inc. in connection with over $4 billion in secured revolving and term loan credit facilities;*
  • SunEdison, a renewable energy developer, in connection with its multinational debtor-in-possession facility;*
  • A private asset management company in their preferred equity offerings and senior secured credit facilities;*
  • CME, Inc. in connection with a $2.25 billion senior unsecured revolving loan facility and its subsidiary, Chicago Mercantile Exchange Inc., in connection with a $7 billion secured loan facility;*
  • BMO Bank N.A. in connection with a $150 million asset-based revolving credit facility for Chassix, Inc.;* and
  • UBS AG in a $300 million cross-border asset-based revolving credit facility for Tronox, Inc. including Australian, U.K., Dutch and U.S. borrowing bases.*

Tabitha was named a recipient of the 2020 40 Under 40 Award from The Secured Finance Network. She represents pro bono clients in connection with immigration, tenants’ rights and other matters. Before joining Benesch, Tabitha served as Counsel at Skadden.
