Benesch Advises Atmus Filtration Technologies on $450 Million Agreement to Acquire Koch Filter Corporation, Establishing Industrial Air Filtration Platform

Benesch is pleased to announce its role in advising Atmus Filtration Technologies Inc. (“Atmus”), a global leader in filtration and media solutions, on its definitive agreement to acquire Koch Filter Corporation (“Koch Filter), a manufacturer of air filtration solutions serving industrial and commercial HVAC, data center and power generation end markets. Koch Filter, a subsidiary of Air Distribution Technologies, Inc. and a portfolio company of Truelink Capital, will be acquired for $450 million in cash. The transaction is expected to close in the first quarter of 2026, subject to customary closing conditions.
Koch Filter’s product portfolio includes HVAC, HEPA, carbon and specialty filtration systems engineered to enhance indoor air quality and protect mission-critical environments from airborne containments. Headquartered in Louisville, Kentucky, the company has manufacturing operations in East Greenville, PA; Houston, TX; and Mira Loma, CA, and is one of the only nationwide independent scaled platforms in the air filtration sector.
