Megan’s practice includes Technology Transaction matters, Data Security & Privacy, and Sweepstakes.

Megan frequently deals in complex technology transactions where she negotiates agreements involving “software as-a-service”, cloud solutions, software development and other professional services. She also practices at the forefront of today’s rapidly evolving Data Security & Privacy landscape and prepares and revises website terms & conditions and privacy policies in accordance with legal updates. Additionally, Megan advises retail clients on matters involving Sweepstakes rules and loyalty program terms.

Prior to joining Benesch, Megan gained a wide variety of experience while externing for an entertainment boutique firm in California where she drafted production, licensing, and writers’ agreements and assessed similar agreements to help entertainment clients exploit their intellectual property rights. Megan also served as an extern for a local minor league baseball team where she monitored and assessed compliance with internal governance and policies.

Representative Experience

  • Served as outside counsel in connection with the completion of an agreement for the sale of Summa Health to HatCo. This represents one of the most significant healthcare system transactions in Ohio in recent years and one of the first in which a major health system has been sold to an affiliate of a private equity fund.
  • Represented a private equity buyer in its acquisition of a wholesale distributor of pipes, valves, and fittings.
  • Represented Blue Marlin Partners in acquiring a stake in Mo' Bettahs, a Hawaiian-Style Barbecue restaurant chain.
  • Represented the Buyer in its acquisition of a company engaged in the sale and servicing of first responder vehicles.
  • Represented the buyer in its acquisition of a pet treat manufacturing company, a transaction which included a rollover of equity interests.
