Overview


Dalton advises private equity sponsors and their portfolio companies, as well as publicly traded companies and privately held businesses, on a broad range of complex M&A and strategic transactions. With a background in accounting and finance, Dalton brings strong financial and business acumen to his practice and understands the strategic drivers behind transactions. His understanding of financial structuring, purchase price mechanics, and transaction-related accounting considerations enables him to anticipate legal and commercial challenges and align deal execution with client goals.

Dalton’s experience spans buy-side and sell-side auction processes, mergers and acquisitions, divestitures, joint ventures, and growth equity and venture capital investments across a variety of industries, including healthcare, technology, financial services and media. Dalton also has experience in complex corporate reorganizations, restructurings, liability management exercises and distressed transactions.

Dalton is a collaborative advisor, helping clients navigate complex negotiations and commercial situations with clarity and efficiency. He manages all stages of the transaction and coordinates cross-functional teams to drive transactions from structuring and diligence to signing and closing.

Dalton maintains an active pro bono practice, including serving as a guardian ad litem, advising nonprofits on governance matters, and representing at-risk individuals in immigration proceedings. He also actively engages in and serves his community by volunteering at Lincoln Park Community Services and St. Clement, his local parish.
