Overview

Robert Goldstein focuses his practice on middle-market private equity transactions, bringing more than 30 years of experience and a track record spanning hundreds of deals with aggregate enterprise value exceeding $50 billion.

Rob’s practice centers on guiding private equity firms and their portfolio companies through every stage of the transaction lifecycle, from target selection and due diligence to deal structuring, execution and exit. He advises clients not only on mergers and acquisitions, carve-out transactions, debt and equity financings, restructurings, distressed asset acquisitions, corporate governance and compliance, but also on broader business and legal issues that arise throughout the life of an investment, including risk management, management transitions and other strategic matters.

Rob serves as outside general counsel to investment funds, portfolio companies and multinational corporations across a range of industries, including retail, consumer products, healthcare and industrials. He also regularly counsels executive leadership teams, boards and sponsors on transaction strategy, governance considerations and the practical legal issues that can affect value creation and exit planning.

Combining deep legal knowledge and a fundamentally business-minded approach to problem solving, Rob is known among clients and colleagues for getting to the root of an issue quickly, prioritizing what matters and crafting creative, deal-specific solutions rather than defaulting to conventional playbooks.

Rob is equally comfortable navigating aggressive, high-stakes negotiations and advising clients who want straightforward, reasonable deal protection without unnecessary friction. Clients describe him as exceptionally responsive and as someone who thinks through challenges the way a businessperson would: with an eye toward practical outcomes, relationship dynamics and the bigger picture beyond any single agreement.

He is also a frequent speaker and writer on private equity and M&A topics, including due diligence, carve-out transactions and strategies for minimizing post-acquisition disputes.

Outside his practice, Rob is deeply committed to supporting breast cancer awareness and the search for a cure.
