Overview

Emily is a dedicated and skilled attorney with a broad-based corporate practice. She has extensive experience in mergers and acquisitions, takeover preparedness and defense, general corporate advisory work, and securities offerings. Throughout her career, Emily has taken on key responsibilities including drafting transaction documents such as purchase agreements, disclosure schedules, and shareholder agreements. She is proficient in conducting due diligence and preparing detailed memoranda.

Emily assists clients with ongoing corporate governance matters, including reviewing and drafting organizational documents, closing certificates, consents, opinions, and resolutions. She also conducts thorough research on corporate law issues and prepares comprehensive memoranda.

In addition, Emily advises publicly traded domestic and foreign companies on compliance with U.S. securities laws. She drafts and prepares filings required under the Exchange Act, including annual reports, quarterly reports, and current reports on Forms 10-K, 10-Q, and 8-K, as well as proxy statements and Section 16 filings. She is adept at drafting SEC response letters and amendments to filings, and preparing Form 144, Form 3, Form 4, Schedule 13D, and Schedule 13G filings. Emily’s proficiency also extends to advising clients on ’33 Act, ’34 Act, NYSE, and NASDAQ rules, particularly regarding Section 16 reporting obligations, proxy rules, and governance standards.
