Overview
Jonathan represents private equity sponsors in acquisitions and recapitalizations of portfolio companies and middle-market corporate entities in mergers, acquisitions, strategic alliances, financings and divestitures of business divisions and key assets.
He also counsels clients on entity formation, restructuring, business transactions, corporate governance, day-to-day business matters, and post-merger and acquisition integration issues. Jonathan’s experience extends to debt and capital raises, add-on acquisitions and investment rollovers. Additionally, he negotiates employment agreements and noncompete agreements and oversees post-acquisition benefits-related issues.
Clients appreciate Jonathan’s diligence, responsiveness and problem-solving skills. He acquires a clear picture of the challenges they face, their pain points, and their goals. Then, he works on practical solutions to help them achieve their desired ends.

Represented Honeywell in the spin-off of its Advanced Materials business, now operating as Solstice Advanced Materials, including leading the separation workstream and contract analysis to establish Solstice as an independent, publicly traded company and supporting Honeywell’s strategic transformation into three distinct industry-leading businesses.
Represented the buyer in its acquisition of a manufacturer of aerospace and aviation components.
Represented Vertical Supply Group, a Gridiron Capital portfolio company, in its acquisition of Yates Gear, a provider of fall protection products in the climbing, technical rescue, rope access, and tactical equipment industries.
Represented Qualus Power Services, a portfolio company of New Mountain Capital, in its acquisition via merger of GridBright, a leading power industry technology solutions firm.
Represented the seller in a sale-leaseback transaction for a warehouse, office and manufacturing property in Stanford, Kentucky used for acrylic paints, oil paints, stretcher bars, easels, craft paper products and accessories.
Represented the buyer in its acquisition of a distribution company representing manufacturers of engines, transmissions and generators.
Represented the buyer in its acquisition of a provider of prime and non-prime, flexible and semi-rigid PVC compounds, CPE, alloys, and zero halogen formulations.
Represented a health-insurance advisor in the sale of its business to a strategic acquirer.
Represented Community Tax LLC, an leader in tax debt resolution services, in its acquisition by NextPoint Financial Inc. (TSX: NPF.U) (OTC Pink: NACQF), an all-inclusive financial services destination providing tax services, loans and other solutions for underserved consumers and small businesses, based in Dallas, Texas.
Represented the buyer in its acquisition of a leading personal safety and firefighting equipment dealer in South Dakota.
Represented R.W. Beckett corporation in in its acquisition of Delavan Spray, LLC and Delavan Limited, leading manufacturers of spray nozzles and related technology.
Represented Gridiron Capital LLC in the acquisition of Sherrill, Inc. dba Vertical Supply Group, a trusted manufacturer and supplier of high-cost of failure, fall protection equipment and tools for arborists, utility, industrial, rescue, landscape and other work-at-height professionals and recreational and rock climbing users based in Greensboro, N.C. from Platte River.
Represented MPE Partners in the recapitalization of DecoArt, a leading manufacturer of paints and finishes for arts, crafts, and home decorating applications.
Represented a private equity sponsor in its acquisition of a leading wholesale distributor of heating, ventilation, air conditioning and refrigeration equipment, parts and supplies in Ohio and Western Pennsylvania.
Represented W.W. Williams in its sale of Auto Safety House, a commercial truck solutions provider and bus dealer, to Reading Truck Group.
Represented the buyer in its acquisition of a manufacturer of storage, loading, hauling, and transportation products, including guards, cable protectors, dropovers, ramps, wheel chocks, and bridges.
Represented Vizzle® (a/k/a Monarch Teaching Technologies), a web-based platform that includes visual, interactive lessons for special education students and students with autism, in its acquisition by Rethink Ed, an award-winning technology developer of cloud-based tools, training, and supports for students with special needs.
