Overview

Marc represents public and private companies, as well as private equity funds and their portfolio companies, in their most significant transactions.

Marc’s practice spans domestic and cross-border mergers, acquisitions, divestitures, corporate restructurings, and other strategic deals. He also advises corporate borrowers, banks, and other financial institutions in a variety of financing transactions, including leveraged financing, first and second lien credit facilities, secured and unsecured syndicated loans, middle market and large cap financings, cross-border and domestic acquisition financings, and debt restructuring transactions. 

Marc’s transactional practice focuses on drafting and negotiating primary transaction documents, such as purchase agreements, disclosure schedules, pledge and security agreements, legal opinions and ancillary agreements, as well as leading the due diligence process. 

In his pro bono work, Marc reviews cases for the Innocence Project.
