Overview
Marie provides strategic counsel to borrowers and lenders in financing transactions, including debt, project and equipment financing matters. She represents investment-grade companies, private equity sponsors and their portfolio companies, and borrowers in the leveraged loan market.
She has also represented creditors, debtors, plan sponsors, and equity holders in corporate restructurings, out-of-court workouts, and Chapter 11 proceedings.
Marie represents pro bono clients in connection with immigration and property tax matters. Prior to joining Benesch, Marie was a corporate restructuring and banking associate at Skadden. Before that, she co-founded a nonprofit program representing homeowners facing property tax foreclosure in Detroit.
Experience
Represented a private equity-backed platform aggregating home services companies, as a borrower, of more than half a billion dollars through a syndicated facility, involving the upsizing of an existing senior credit facility and the introduction of a new junior debt facility. The transaction required coordinating a complex capital structure across more than 60 borrower and guarantor entities, negotiating intercreditor arrangements between lender groups and perfecting equity interests held by both loan parties and minority joint venture partners. The financing not only positions the client to meet capital needs, execute acquisitions, fund growth initiatives and manage liquidity; it stands out for its scale, structural complexity and dual-facility design.
Represented an Am Law 100 international law firm and its subsidiaries, as borrowers and guarantors, in connection with a syndicated financing worth more than $200 million, refinancing and upsizing its existing financing. The deal included a term loan, revolving credit and letter of credit facility, and involved complexities unique to law firms, including intellectual property collateral, extensive escrow account structures for client funds, specialized insurance considerations and foreign subsidiary exclusions. The transaction enhanced the firm’s liquidity and operational flexibility while demonstrating sophisticated handling of regulated borrower structures and refinancing negotiations.
Represented Bochi Investments, LLC, in its equity acquisition of Marsee Foods, LLC, a wholesale bakery in Portland, Oregon.
