Overview
Megan represents clients in a variety of industries on complex technology transaction matters, conducts data security and privacy work related to changes in U.S. state privacy laws, and advises retailers and e-commerce companies on running sweepstakes promotions, implementing loyalty programs, and drafting related terms.
She frequently negotiates agreements involving software-as-a-service (SaaS), cloud solutions, software development, and other professional services. Megan also practices at the forefront of today’s rapidly evolving data security and privacy landscape, preparing and updating website terms and conditions and privacy policies in accordance with new legal developments. She routinely drafts sweepstakes rules and loyalty program terms and conditions, and counsels retailers on advertising and related marketing compliance.
Megan also completed a secondment with a national beauty, fitness, and lifestyle retailer, where she advised on online marketing campaigns, sweepstakes, and other promotional initiatives. Her work included reviewing advertising content for legal compliance and drafting associated terms and conditions. This in-house experience gave her a nuanced understanding of how legal guidance intersects with business strategy, ensuring alignment with clients’ marketing and operational goals.
Prior to joining Benesch, Megan gained valuable transactional experience while externing for an entertainment boutique firm in California, where she drafted production, licensing, and writers’ agreements and assessed similar agreements to help entertainment clients exploit their intellectual property rights. She also served as an extern for a local minor league baseball team, monitoring and assessing compliance with internal governance and policies.
Experience
Served as outside counsel in connection with the completion of an agreement for the sale of Summa Health to HatCo. This represents one of the most significant healthcare system transactions in Ohio in recent years and one of the first in which a major health system has been sold to an affiliate of a private equity fund.
Represented Blue Marlin Partners in acquiring a stake in Mo’ Bettahs, a Hawaiian-Style Barbecue restaurant chain.
Represented a private equity buyer in its acquisition of a wholesale distributor of pipes, valves, and fittings.
Represented the Buyer in its acquisition of a company engaged in the sale and servicing of first responder vehicles.
Represented the buyer in its acquisition of a pet treat manufacturing company, a transaction which included a rollover of equity interests.
