Overview

Terri Taibl Soni advises clients on complex corporate transactions, including mergers, acquisitions, divestitures and strategic investments. Applying deep law firm and corporate in-house counsel experience, Terri works closely with private equity sponsors, portfolio companies, strategic operators and individual investors, guiding their deals from ideation, initial structuring and diligence through negotiation, closing and integration.

Terri’s clients also rely on her for practical guidance on corporate governance, compliance matters and contract interpretation. She advises senior management teams and boards of directors on risk management and strategic decision-making. Clients benefit from her ability to anticipate issues and deliver efficient solutions tailored to both their immediate needs and long-term commercial objectives.

Prior to joining Benesch, Terri was a partner at Mercer Oak where she focused her practice on M&A across a number of industries, including healthcare, business services, consumer products and food & beverage. Earlier in her career, Terri served as Associate General Counsel, Corporate and M&A at Cresco Labs, one of the largest vertically integrated multistate cannabis operators in the United States. There, she led complex transactions and advised on regulatory considerations and day-to-day legal matters. Terri also spent nearly nine years at Winston & Strawn LLP, where she represented private equity sponsors, portfolio companies and strategic buyers in wide-ranging sophisticated domestic and cross-border transactions.
