Overview
Clifford’s practice focuses on advising physicians, dental support organizations (DSOs), and health care, life sciences, pharmaceutical and businesses on regulatory, business and intellectual property issues.
He has represented physicians, DSOs, limited licensed practitioners, physician and multi-specialty group practices, ambulatory surgery centers, durable medical equipment suppliers, medical device manufacturers and distributors, hospice agencies, pharmacies and other ancillary service providers.

Representation of the ChildSmiles Group, LLC d/b/a Abra Health Group, a support services organization providing administrative support services to multi-specialty dental and pediatric primary care practices in New Jersey and Pennsylvania, in connection with practice acquisitions and regulatory, compliance, labor & employment, and other day-to-day outside general counsel services.
Represented private equity sponsor in its simultaneous acquisitions of an oncology practice service provider and a group purchasing organization.
Served as deal counsel in recapitalization and reorganization of an ambulatory surgery center, including the addition of a health system partner and sale and leaseback of real estate assets.
Served as deal counsel for a regional health system in the reorganization of its home health care and hospice service line through a spin out and joint venture with a management company.
Represented US HealthVest, LLC in its acquisition of Illinois hospital, 70-bed Vista Medical Center West, from Community Health Systems, Inc. spin-off Quorum Health Corp.
Represented Wellspring Capital Management, LLC and National Seating & Mobility, Inc. as health care regulatory counsel in an agreement with Court Square Capital Partners. Under the transaction, Wellspring Capital Management, LLC has exited National Seating & Mobility, Inc. and Court Square Capital Partners has become Great Lakes’ new equity partner. National Seating & Mobility is one of the largest providers of complex rehab technology in the U.S.
Represented Great Lakes Caring Home Health and Hospice as health care regulatory counsel in an agreement with Blue Wolf Capital Partners. Under the transaction, Wellspring Capital Management, LLC has exited Great Lakes Caring and Blue Wolf Capital has become Great Lakes’ new equity partner.
Served as health care regulatory counsel for a New York-based private equity firm in its acquisition of a nationally recognized behavioral health provider specializing in clinical, educational and residential services for children and adults.
Representing large regional health system in the acquisition of a governmental hospital and an affiliated physician practice.
Represented Lighthouse Behavioral Health Solutions in its recapitalization by Amulet Capital Partners, a private equity firm.
Represented U.S. Healthvest in connection with the acquisitions of Lake Behavioral, Smokey Point and Silver Oaks, all psychiatric hospitals.
