Overview
Logan advises buyers and sellers on complex transactions including mergers and acquisitions, divestitures, carve-outs, equity and debt financings, recapitalizations, and other strategic endeavors.
Logan primarily represents private equity sponsors and their portfolio companies on transactions ranging from $5 million to $500 million across sectors, including construction, industrial equipment, manufacturing, software, and retail.
Logan has deep experience in the construction industry and its related verticals including the residential and consumer construction sector, the industrial equipment sector, and the related manufacturing and distributorship supply-chains. He has successfully led multiple private equity roll-up strategies in such industries and is experienced in navigating government contracts, construction bonds, and the various licensing requirements present in such investment strategies.
Experience
Represented Purolator, a leading Canadian provider of integrated freight, package and logistics solutions, as U.S. deal counsel in its acquisition of Livingston International from Platinum Equity.
Represented American Equipment Solutions, a portfolio company of Rotunda Capital Partners, in its divestiture of Kanawha Scales & Systems and related industrial weighing business to Investcorp.
Represented Honeywell in the spin-off of its Advanced Materials business, now operating as Solstice Advanced Materials, including leading the separation workstream and contract analysis to establish Solstice as an independent, publicly traded company and supporting Honeywell’s strategic transformation into three distinct industry-leading businesses.
Represented a private equity buyer in its acquisition of a wholesale distributor of pipes, valves, and fittings.
Represented private equity sponsor in its acquisition of a security systems installation company selling products solely through government procurement channels.
Represented multiple private equity sponsors in roll-up strategies of HVAC, Plumbing, and Electrical businesses.
Represented Gridiron Capital in the sale of Foundation Wellness, a leading consumer wellness platform that designs, manufactures, markets, and sells high-value branded wellness products, to Bansk Group.
Represented Trivest in the platform acquisition of Province, a leading and nationally recognized restructuring and advisory firm.
Represented private equity sponsor in its simultaneous acquisitions of an oncology practice service provider and a group purchasing organization.
Represented a private equity fund in its acquisition of a distributor and installer of garage and overhead doors and related products.
Represented the buyer in its acquisition of a distributor of lifting products and accessories.
Represented a private equity sponsor and its portfolio company in multiple add-on acquisitions, including the acquisition of a wholesaler and distributor of industrial weights and related measuring equipment.
Represented Olympus Partners and Excel Fitness Holdings in their acquisition of fitness clubs in Texas and Oklahoma.
Represented Signet Jewelers, the world’s largest retailer of diamond jewelry, in its acquisition of Diamonds Direct USA Inc., a direct-to-consumer destination retailer, for $490 million.
Represented the Buyer in its acquisition of a material handling engineering company engaged in the design, sale, repair, installation and rental of cranes, hoists, material handling equipment, parts, and related equipment.
Represented Signet Jewelers SIG (NYSE) in its acquisition of a jewelry subscription and retail business, Rocksbox.
Represented the buyer in its acquisition of a German provider of data and software-based anti-financial crime compliance solutions.
Represented the buyer in its acquisition of a UK provider of data and software-based anti-financial crime compliance solutions
Represented large residential remodeling company in its acquisition of a technology-centered provider of replacement windows.
Represented a private equity sponsor in its acquisition of the assets of a domestic and international intermodal drayage and transportation logistics company.
