Overview

Michael advises private equity sponsors, their portfolio companies and public and private businesses as they evaluate opportunities, structure transactions and close deals. His practice focuses on mergers, acquisitions, divestitures, carve-outs, joint ventures, minority investments and other complex transactions.

He works closely with management teams, sponsors, investors and boards across the full transaction lifecycle, from initial structuring and negotiation through closing, delivering commercially focused counsel designed to allocate risk effectively and drive transactions to a timely and successful close.

Michael serves as lead counsel to buyers and sellers in complex, time-sensitive transactions, including platform and add-on acquisitions and cross-border deals requiring coordination across multiple regulatory frameworks. He has particular depth in the home services sector, regularly representing private equity sponsors executing buy-and-build strategies across commercial and residential window and door, roofing, plumbing and HVAC businesses, and helping them navigate the regulatory, integration and operational complexities inherent in consolidating fragmented markets. He also has significant experience advising on financial services and technology transactions for strategic buyers, financial buyers and independent sponsors.
