Nathan represents public and private companies and financial advisor clients in all aspects of corporate transactions, including mergers, acquisitions, minority investments, and divestitures. He has experience advising clients regarding various issues in connection with transactions, including general corporate law, federal securities law, stock exchange requirements, contractual obligations, and post-closing disputes.
In addition, Nathan drafts and negotiates transaction documentation, including purchase agreements, merger agreements, stockholder agreements, regulatory filings, and various ancillary documents. He also conducts and supervises due diligence in various contexts, including acquisitions.
Represented Falcon Plastics in its acquisition of Avid International Molding Solutions, a stock purchase involving Avid’s U.S. and Mexico operations. Benesch advised on the U.S. acquisition and coordinated integration of the Mexico transaction.
