Overview
Scott focuses his time on developing the right business and legal structures for healthcare companies, particularly joint ventures among various providers and non-provider third parties. Over the past two decades, he has participated in numerous transactions involving the purchase or sale of healthcare facilities representing both buyers and sellers of such companies.
Scott has extensive experience assisting ancillary service providers with all of their healthcare regulatory and corporate needs, with an emphasis on dialysis facilities, ambulatory surgery centers and specialty hospitals, as well as counseling large physician practices on the appropriate structure for their practice and the integration of their ancillary services. This experience translates to practical and effective advice.
Scott frequently speaks at conferences and seminars, including the Benesch Annual Dialysis and Nephrology Conference, the RPA annual meeting, and the Carolina Kidney Associates annual meeting. He has authored or co-authored a variety of articles on business and legal topics affecting the firm’s healthcare clients.

Represented a regional dialysis provider in a $5 million joint-venture transaction with a national dialysis company. Advised the client on all stages of the deal, including structuring, regulatory review, negotiation of joint-venture and operating documents, and closing coordination. The engagement involved complex healthcare regulatory considerations, including joint-venture compliance, state facility-licensure strategy, and alignment with federal fraud and abuse frameworks.
Lead Counsel representing a nephrology centered value based care company in the sale of 51% ownership to a large regional healthcare system. The strategic partnership intends to grow the value based care services it offers patients and payors in the region.
Acts as General Counsel to the Renal Physicians Association.
Represented one of the nation’s largest nephrology group practices, in a strategic sale and long-term management agreement with an affiliate of Satellite Healthcare.
