Jordan focuses his practice on the executive compensation, benefits and employment-related aspects of corporate transactions.
Jordan advises clients on mergers and acquisitions involving privately and publicly held companies, spin-offs and divestitures. He negotiates, reviews and drafts transactional documents, analyzes sponsor fund programs, and he conducts due diligence on employment agreements, nonqualified compensation plans and equity arrangements. Jordan also provides guidance on issues arising under the Internal Revenue Code, including Sections 280G and 409A, as well as federal securities laws and exchange regulations.
Beyond transactional work, Jordan designs, drafts and amends compensation plans and agreements, including employment, consulting, termination, severance, change-in-control and restrictive covenant arrangements. He assists clients with day-to-day corporate governance and compliance matters, preparing board and compensation committee resolutions, presentations and employee communications related to corporate transactions. Jordan also has experience with SEC filings, including executive compensation disclosures required under the Securities Act and annual, periodic and event-driven reports related to corporate transactions.
