Overview
Tasha focuses her practice on debt financing and commercial lending transactions. She represents private equity sponsors and their portfolio companies, as well as public and private corporate borrowers in a broad range of secured and unsecured debt transactions across the capital structure.
Such transactions include acquisition financings, leveraged buyouts, cash flow financings, subscription and net asset value financings, back-leverage arrangements, and asset-based lending transactions. Her expertise spans true middle-market transactions to large-cap, bulge-bracket transactions.
Tasha helps clients navigate the debt markets, ensuring each financing structure and set of terms supports their business model and strategic objectives. With a particular focus on private equity, she brings extensive experience in acquisition financing transactions and fund finance transactions. She is well-versed in complex capital structures and has substantial experience drafting and negotiating loan documentation, including commitment letters, term sheets, credit agreements, intercreditor agreements, collateral documentation, and legal opinions.
Prior to joining Benesch, Tasha was a debt finance associate at Kirkland & Ellis LLP.
Experience
Served as legal counsel to Atmus Filtration Technologies in its $450 million definitive agreement to acquire Koch Filter. The transaction strengthens Atmus’ market position by providing direct access to Koch Filter’s established customer network across commercial and industrial HVAC, data centers and power generation.
