Benesch Advises Atmus Filtration Technologies on $450 Million Agreement to Acquire Koch Filter Corporation, Establishing Industrial Air Filtration Platform
December 2, 2025
Benesch is pleased to announce its role in advising Atmus Filtration Technologies Inc. (“Atmus”), a global leader in filtration and media solutions, on its definitive agreement to acquire Koch Filter Corporation (“Koch Filter), a manufacturer of air filtration solutions serving industrial and commercial HVAC, data center and power generation end markets. Koch Filter, a subsidiary of Air Distribution Technologies, Inc. and a portfolio company of Truelink Capital, will be acquired for $450 million in cash. The transaction is expected to close in the first quarter of 2026, subject to customary closing conditions.
Koch Filter’s product portfolio includes HVAC, HEPA, carbon and specialty filtration systems engineered to enhance indoor air quality and protect mission-critical environments from airborne containments. Headquartered in Louisville, Kentucky, the company has manufacturing operations in East Greenville, PA; Houston, TX; and Mira Loma, CA, and is one of the only nationwide independent scaled platforms in the air filtration sector.
“The acquisition of Koch Filter will accelerate Atmus’ growth by expanding into the industrial air filtration market, including the growing industrial and commercial HVAC, data center and power generation end markets,” said Steph Disher, CEO of Atmus. “The Koch Filter team brings to Atmus deep, established customer relationships, extensive industry experience and a leading portfolio of consumable mission-critical products. Combining these strengths with our global footprint and expertise in media design positions our company to unlock growth opportunities.”
“We were proud to support Atmus on this strategic acquisition,” said Andrew Glickman, lead partner on the transaction. “Koch Filter’s deep expertise in key industrial and commercial HVAC applications complements Atmus’ long-term vision for expanding its filtration capabilities. This transaction positions Atmus for meaningful growth across critical end markets.”
