Overview

Melanie advises on private equity matters, assists clients in financing mergers and acquisitions, and represents lenders and borrowers in a wide array of corporate financing. Clients also benefit from her guidance on corporate governance matters and her experience in handling commercial transactions in new and emerging fields.

Melanie’s experience includes representing alternative investors, private equity funds, family offices, distressed debt funds, lenders (both syndicated and single-lender) and companies on all aspects of debt finance. She is experienced in drafting and negotiating various finance agreements, credit facilities, and ancillary documents, conducting due diligence, assessing financial risks associated with financings, and monitoring company compliance with loan provisions. She also advises lenders and borrowers on restructurings and refinancings, navigating complex collateral structures to deliver workable solutions that meet her clients’ needs and position them for future success.

Prior to joining Benesch, Melanie was an associate in the debt finance group at a boutique cannabis-focused law firm.
