Rachel assists in all areas of loan transaction closings, including the preparation of ancillary loan documents, closing agendas and closing binders.
Rachel also prepares UCC financing statements for filing and orders and reviews lien searches.
Additionally, Rachel has experience assisting with closing corporate transactions, drafting ancillary closing documents, coordinating diligence efforts, creating entities, and preparing state and SEC filings. She has also managed restructuring documentation and supported the preparation of corporate governance documents.
Represented a national financial institution as administrative agent and lender in connection with a syndicated term loan facility supporting the acquisition of a portfolio of skilled nursing and assisted living facilities across New York. The transaction involved a complex, multi‑tiered real property healthcare financing structure, including delayed‑draw term loans for post‑closing acquisitions and layered intercreditor and subordination arrangements.
Represented Blackstone in connection with its acquisition of a portfolio of 228 mortgage loans from Atlantic Union Bank for approximately $2 billion.
Represented a strategic buyer in its acquisition of a temporary-staffing business in Southern California.
