Nick has experience with structuring and negotiating merger, acquisition, buyout, and joint venture transactions for both strategic and investment fund clients, and regularly represents private equity funds in connection with acquisitions and dispositions. Nick also advises clients on tax-free reorganization structures, internal restructurings, and debt financing transactions.
Nick focuses his practice on transactions for private equity portfolio companies and their sponsors, and has engaged in hundreds of middle-market private equity transactions over the course of his career, ranging from $1 million to over $1 billion in enterprise value. Nick has experience and expertise across several industrial sectors, including manufacturing, healthcare, food & beverage, business services, consumer products and industrial services.
Representative Experience
- Served as legal counsel to Atmus Filtration Technologies in its $450 million definitive agreement to acquire Koch Filter. The transaction strengthens Atmus’ market position by providing direct access to Koch Filter’s established customer network across commercial and industrial HVAC, data centers and power generation.
- Represented Gridiron Capital in the sale of Foundation Wellness, a leading consumer wellness platform that designs, manufactures, markets, and sells high-value branded wellness products, to Bansk Group.
