Andrew is a senior managing associate in Benesch’s Commercial Finance Practice Group, with a focus on representing lenders and borrowers in secured and unsecured credit transactions.
Andrew’s experience includes representing financial institutions and borrowers in secured and unsecured credit transactions, including acquisition financing and leveraged buyouts, mezzanine and subordinated facilities, as well as asset-based, equipment, and CapEx lines of credit.
Andrew has prior experience as an associate counsel at KeyBank N.A., serving as counsel to its commercial and equipment lending lines of business, as well as a prior tenure at Benesch in its Corporate & Securities group, representing private equity clients in buy or sell side transactions, and with general corporate matters.
Representative Experience
- Represented Gridiron Capital in the sale of Foundation Wellness, a leading consumer wellness platform that designs, manufactures, markets, and sells high-value branded wellness products, to Bansk Group.
- Represented borrower in an amendment to its credit facility to add an incremental term loan for purposes of financing an acquisition of a distributor of customizable shoe inserts and antimicrobial shoe insert cushions.
- Represented private equity owned buyer in an add-on stock acquisition of a company which sells science kits to professors and universities for student use.
- Representation of a private equity firm in connection with $75 million secured credit facility related to the acquisition of a manufacturing company.
- Represented a private equity fund in the acquisition of its newest portfolio company in the business of providing conference and event services, consulting, training, data analytics and business intelligence services to pharmacy owners.
- Represented a private equity fund in the acquisition of its newest portfolio company in the business of providing brand marketing services for $36 million in December 2017, which included an equity and debt offering for financing the acquisition.
- Represented The CommuniCare Family of Companies in its acquisition of 16 nursing centers in Indiana, 4 health care centers in Maryland, and 4 others in Virginia, adding more than 1000 beds.
- Representation of LeafFilter, a provider of gutter guards for homeowners in North America, in its sale to Gridiron Capital, LLC.
- Represented Trident Capital in the sale of MedSave.
- Represented Prairie Capital in the sale of its portfolio company, TeacherMatch to PeopleAdmin, Inc.
